Licensing Terms for Rick Ryan Photography

1. Introduction

These Licensing Terms (“Agreement”) are entered into between Rick Ryan Photography (“Photographer” or “Licensor”) and the client (“Client” or “Licensee”) for the licensing of real estate photography and videography services provided by Rick Ryan Photography through the website “rickryanphotography.com.”

2. Services Offered

Rick Ryan Photography offers real estate photography and videography services for properties listed by the Client.

3. Licensing Types

Rick Ryan Photography offers a standard license for the usage of media.

4. Usage Rights

Under the standard license, the Client is granted the right to use the media for their real estate listings on platforms such as Zillow, Redfin, and their website. However, the Client is prohibited from selling or transferring the media to any third party.

5. Geographical Scope

There are no geographic restrictions on the usage of the media under the standard license. The Client can use the media globally.

6. Duration of License

The standard license is valid for a limited period of five (5) years from the date of purchase.

7. Price and Payment

The pricing for the standard license is listed on rickryanphotography.com. The Client can make payments through PayPal or credit cards.

All media provided by Rick Ryan Photography under the standard license remains the exclusive property and copyright of Rick Ryan Photography. The standard license does not transfer any ownership rights to the Client.

9. Attribution and Watermarks

While attribution is not mandatory, Rick Ryan Photography appreciates it if the Client provides appropriate credit when using the media.

10. Modifications and Derivatives

Under the standard license, the Client is not allowed to modify or create derivatives of the media.

11. Indemnification

  1. Cessation of Use: If the Client is found to be using the media in violation of the licensing terms, the Client must immediately cease the use of the media upon notification.
  2. Penalties and Damages: The Client acknowledges that any unauthorized use or breach of the licensing terms may result in penalties and damages. The Client shall be liable for monetary compensation for any damages caused.
  3. Legal Action: Rick Ryan Photography reserves the right to take legal action against the Client who continues to use the media in violation of the licensing terms. Such legal action may include seeking injunctions or pursuing legal remedies in a court of law.
  4. Termination of License: Rick Ryan Photography may, at their discretion, terminate the Client’s license in the case of a breach of the licensing terms. Termination may be temporary or permanent, depending on the severity of the violation.
  5. Indemnification by Client: The Client agrees to indemnify and hold Rick Ryan Photography harmless from any claims, liabilities, or legal actions arising out of their unauthorized use of the media.
  6. Notification Process: In the event of a violation, Rick Ryan Photography will notify the Client of the breach and provide an opportunity to rectify the issue within a reasonable timeframe. Failure to comply may result in further action.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States and the state of California.
